Agreement to Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “Customer”) and Modus Labs (“we,” “us,” “our,” or “Modus Labs”), a business operating out of Victoria, British Columbia, Canada.
By visiting our website at trymodus.ca, creating an account, or placing an order, you acknowledge that you have read these Terms in their entirety and agree to be bound by them, together with our Privacy Policy and any other policies referenced herein. These Terms apply to all visitors, users, and customers of our website and services.

About Modus Labs
Modus Labs is a functional mushroom and nootropic supplement brand based in Victoria, British Columbia, Canada. We sell capsule-form natural health products and functional food tinctures (our “Dram” line) directly to consumers through our website.
Our capsule products are sold as Natural Health Products (NHPs) authorized for sale in Canada under Health Canada’s Natural Health Products Regulations. Our Dram tinctures are classified and sold as food products under Canadian food labelling regulations. Products are intended for the Canadian market; for US or international shipping availability, please refer to our Shipping Policy.

Eligibility
To purchase from Modus Labs, you must:
- Be at least 15 years of age.
- Be a resident of a jurisdiction to which we ship (see Shipping Policy).
- Provide accurate, complete, and current billing and shipping information.
- Agree to these Terms and our Privacy Policy.
By placing an order, you represent and warrant that you meet all eligibility requirements above. We reserve the right to refuse orders from anyone who does not meet these criteria.

Products & Product Descriptions
We take care to present our products accurately. However, we do not warrant that product descriptions, ingredient information, photography, pricing, or any other content on our website is error-free, complete, or current.
Product images are for illustrative purposes only and may vary slightly from the physical product received due to photography, screen calibration, or packaging updates. We reserve the right to update formulations, ingredients, or product specifications. Where material changes are made to a product, we will update the relevant product page accordingly.
Our capsule products bear a Natural Product Number (NPN) issued by Health Canada. Our Dram line tinctures are food products and do not carry an NPN. Please review all label information before consuming any product and consult a healthcare practitioner if you have questions about a specific formulation.
Ingredient transparency: We will never sell your personal information to third parties. Full stop. Our business is built on trust, and we treat your data with the same care we put into our products.

Health Disclaimer
Modus Labs products are not intended to diagnose, treat, cure, or prevent any disease or medical condition. The information on this website — including product descriptions, ingredient information, and any educational content — is provided for general informational purposes only and does not constitute medical advice.
Results from using our products may vary from person to person. Individual responses to natural health products and food supplements depend on many factors including age, body composition, existing health conditions, diet, and lifestyle.
You should consult a qualified healthcare practitioner before starting any new supplement regimen, particularly if you:
- Are pregnant, nursing, or planning to become pregnant.
- Have a pre-existing medical condition or are under a physician’s care.
- Are taking prescription or over-the-counter medications.
- Have known allergies to any listed or related ingredients.
Our capsule products are licensed Natural Health Products with authorized health claims as approved by Health Canada. Claims made on our website are consistent with the terms of each product’s Health Canada market authorization. We do not make therapeutic or disease-treatment claims beyond what is authorized.
Always read the label: Do not exceed the recommended dose. Keep all products out of reach of children and store as directed on the label.

Orders & Payment
All orders placed through our website are subject to acceptance by Modus Labs. We reserve the right to refuse or cancel any order at our sole discretion, including orders that appear to be placed for resale, orders where we suspect fraud, or orders we cannot fulfill due to stock limitations.
When you place an order, you will receive an automated order confirmation email. This confirmation does not constitute acceptance of your order — acceptance occurs when your order is processed and shipped, at which point you will receive a shipping confirmation.
We accept the following payment methods:
- Major credit and debit cards (Visa, Mastercard)
- Apple Pay, Google Pay, PayPal (where available)
- Other methods displayed at checkout
All payment information is processed securely. Modus Labs does not store your full payment card details on our servers. By submitting payment information, you represent that you are authorized to use the payment method provided.

Pricing & Taxes
All prices on our website are listed in Canadian dollars (CAD) unless otherwise stated. Prices are subject to change at any time without notice; however, the price charged on your order will be the price displayed at the time you complete checkout.
Applicable taxes will be calculated and displayed at checkout based on your shipping address and the nature of the products ordered. As a Canadian business, we collect and remit Goods and Services Tax (GST) and applicable provincial taxes in accordance with the Canada Revenue Agency’s requirements. Our Dram line tinctures, classified as food products, are GST/HST zero-rated; our capsule line NHP products may be subject to applicable taxes as required by law.
For orders shipped outside Canada, you are responsible for any customs duties, import taxes, or brokerage fees levied by your country’s customs authority. Modus Labs has no control over these charges and cannot predict their amount.

Shipping & Delivery
We currently ship to addresses within Canada. US shipping availability is noted at checkout and may be subject to additional requirements. We do not ship to PO Boxes unless otherwise indicated.
Estimated delivery timeframes are provided at checkout and are estimates only — they are not guarantees. Delays due to carrier issues, customs, weather, or other circumstances beyond our control are not the responsibility of Modus Labs.
Risk of loss and title for products passes to you upon delivery of your order to the carrier. If your order is marked as delivered but has not been received, please contact us within 2 days so we can assist in investigating the matter as soon as possible.
Modus Labs is not liable for any loss, damage, or delay caused by the carrier. However, we will do our best to work with you and the carrier to resolve any issues.

Returns & Refunds
Your satisfaction matters to us. Due to the consumable nature of our products and Health Canada regulations governing natural health products and food items, we are unable to accept returns of opened or used products.
We will, however, offer a refund or replacement in the following circumstances:
- You received a damaged or defective product.
- You received the wrong product.
- Your order was lost in transit and confirmed undelivered.
To initiate a return or refund claim, please contact us at hello@moduslabs.ca within 14 days of delivery with your order number and a brief description or photo of the issue. We will respond promptly and work to make it right.
Refunds, where approved, will be issued to the original payment method within 5–10 business days. We reserve the right to decline refund requests that do not meet the criteria above or that we reasonably believe to be fraudulent.
Subscription orders (if applicable): You may cancel an active subscription at any time before the next billing date through your account portal. Cancellations after billing has processed will be applied to the following cycle.

Intellectual Property
All content on the Modus Labs website — including but not limited to the brand name, logo, product names, photography, copywriting, illustrations, formulations, packaging design, and the overall look and feel of the site — is the exclusive intellectual property of Modus Labs and is protected under applicable Canadian and international copyright, trademark, and intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from our website without our prior written consent. Limited use for personal, non-commercial purposes (such as sharing a product link on social media) is permitted provided no modification is made and clear attribution is given.
If you believe any content on our site infringes your intellectual property, please contact us at hello@moduslabs.ca with details and we will respond promptly.

Prohibited Uses
By using this website, you agree not to:
- Use the site for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to any portion of the website, server, or associated systems.
- Transmit any unsolicited or unauthorized advertising, spam, or other promotional materials.
- Collect or harvest any personal information from other users of the site.
- Resell products purchased from Modus Labs without our prior written consent.
- Use automated scraping, bots, or other data extraction tools on the website.
- Post false or misleading reviews or otherwise misrepresent your experience with our products.
- Engage in any conduct that could damage, disable, or impair the website or interfere with other users’ use of the site.
We reserve the right to terminate your access to our website and cancel any associated orders if we determine, in our sole discretion, that you have violated these Terms.

Limitation of Liability
To the fullest extent permitted by applicable law, Modus Labs and its owners, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our products or website, including but not limited to loss of profits, data, goodwill, or other intangible losses.
Our total aggregate liability to you for any claim arising from your use of our website or purchase of our products shall not exceed the total amount paid by you for the specific order giving rise to the claim.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable Canadian law, including rights you may have as a consumer under the British Columbia Business Practices and Consumer Protection Act.

Indemnification
You agree to indemnify, defend, and hold harmless Modus Labs and its owners, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your access to or use of our website or products.
- Your violation of these Terms.
- Your infringement of any third-party rights, including intellectual property rights.
- Any content you submit, post, or transmit through our website.

Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or our products shall first be addressed by contacting us directly at hello@moduslabs.ca. We will make reasonable efforts to resolve disputes informally and in good faith.
If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in Victoria, British Columbia, in accordance with applicable arbitration legislation, unless you are a consumer entitled to bring a claim before the courts under applicable Canadian consumer protection law.

We may update these Terms from time to time to reflect changes in our business practices, legal requirements, or for any other reason at our sole discretion. When we make material changes, we will update the “Last updated” date at the top of this page.
